1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website, products, and services (collectively, the "Services") provided by AiDA Systems, Inc. ("AiDA Systems," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.

If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

2. Description of Services

AiDA Systems provides custom-built generative AI solutions, including but not limited to: AI-powered document analysis, voice-based AI assistants, custom large language models, workflow automation tools, and related consulting and engineering services.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will make reasonable efforts to provide advance notice of material changes.

3. User Obligations

By using our Services, you agree to:

  • Provide accurate and complete information when requested
  • Maintain the confidentiality of any account credentials provided to you
  • Use the Services only for lawful purposes and in compliance with all applicable laws and regulations
  • Not attempt to gain unauthorized access to any part of the Services, other accounts, or systems
  • Not use the Services to transmit harmful code, malware, or any content that infringes the rights of others
  • Not reverse engineer, decompile, or disassemble any part of the Services
  • Not use the Services to develop competing products or services

4. Intellectual Property

All content, features, and functionality of the Services, including but not limited to software, algorithms, models, text, graphics, logos, and documentation, are owned by AiDA Systems or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

Unless otherwise specified in a separate agreement, any custom models, solutions, or deliverables created by AiDA Systems for you under a service agreement will be governed by the intellectual property terms of that agreement.

5. Client Data

You retain all rights to the data you provide to us in connection with the Services ("Client Data"). You grant us a limited license to use Client Data solely for the purpose of providing and improving the Services as agreed upon.

We will handle your Client Data in accordance with our Privacy Policy and any applicable data processing agreements. We will not use your Client Data to train general-purpose models or share it with third parties except as necessary to provide the Services or as required by law.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the engagement. Confidential information includes, but is not limited to, business plans, technical specifications, algorithms, client data, pricing, and any information designated as confidential. This obligation survives the termination of these Terms for a period of three (3) years.

7. Fees and Payment

Fees for our Services are specified in the applicable service agreement, statement of work, or order form. Unless otherwise stated, all fees are quoted in U.S. dollars and are non-refundable.

Payment is due within thirty (30) days of the invoice date unless otherwise specified. Late payments may be subject to interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

8. Warranties and Disclaimers

We warrant that the Services will be performed in a professional and workmanlike manner consistent with generally accepted industry standards.

Except as expressly stated herein, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

AI-generated outputs may contain inaccuracies or errors. You are responsible for reviewing, validating, and verifying all outputs before relying on them for any purpose, including legal, regulatory, or business decisions.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall AiDA Systems, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising out of or in connection with these Terms or the Services.

Our total cumulative liability under these Terms shall not exceed the total fees paid by you to AiDA Systems during the twelve (12) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless AiDA Systems and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services in violation of these Terms; (b) your violation of any applicable law or regulation; or (c) your infringement of any third-party rights.

11. Termination

Either party may terminate these Terms upon thirty (30) days' written notice. We may also suspend or terminate your access to the Services immediately if you breach these Terms, fail to pay fees when due, or if we are required to do so by law.

Upon termination, your right to use the Services will cease immediately. Sections relating to intellectual property, confidentiality, limitation of liability, indemnification, and governing law will survive termination.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.

Any disputes arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, it shall be submitted to binding arbitration in Santa Clara County, California, in accordance with the rules of the American Arbitration Association.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website with a revised "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.
